Compensation and Benefits Policy Company Name: Effective Date: Policy Owner: Approved By: Compensation Review Cycle: PURPOSE & SCOPE - This policy establishes a structured and equitable framework for the administration of compensation and benefits across the Organization. It ensures that all pay and benefit decisions are market-competitive, internally equitable, and aligned with the Organization's strategic objectives. - The Head of Human Resources, in coordination with the Compensation and Benefits function, shall serve as the policy owner and shall be accountable for the implementation, interpretation, and periodic review of this policy. - All compensation and benefits decisions shall comply with applicable federal, state, and local wage and hour laws, tax regulations, and equal pay legislation. The Organization shall not discriminate in pay or benefits on the basis of any protected characteristic. SALARY STRUCTURE & PAY ADMINISTRATION - The Organization shall maintain a formal salary structure comprising defined pay grades and salary bands that are benchmarked against relevant market data at least annually. Each position shall be assigned to a pay grade based on a systematic job evaluation methodology. - Individual base salaries shall be determined based on the employee's qualifications, experience, performance, and position within the applicable salary band. All salary decisions, including starting salaries for new hires, shall require approval in accordance with the Organization's delegated authority matrix. - Annual salary reviews shall be conducted during the designated compensation cycle. Merit increases shall be linked to individual performance ratings and shall be distributed within a merit matrix approved by the Compensation Committee. - Payroll shall be processed on the designated pay dates using the Organization's approved payroll system. All statutory deductions, including income tax, social security contributions, and any court-ordered garnishments, shall be applied accurately and remitted to the appropriate authorities within the prescribed timelines. VARIABLE PAY & INCENTIVES - The Organization shall maintain performance-based variable pay programs, including annual bonuses and sales incentives, to reward individual and team contributions that exceed baseline expectations. Eligibility, targets, and payout mechanics shall be communicated to each eligible employee at the start of the performance period. - Annual bonus payouts shall be determined by a combination of individual performance, departmental results, and overall organizational performance against the approved operating plan. The bonus pool shall be funded based on the Organization's achievement of its financial targets. - Sales incentive plans shall be designed to drive revenue growth and shall include clearly defined quotas, commission rates, accelerators for over-achievement, and clawback provisions for reversed transactions. Plan documents shall be issued to all eligible sales personnel within 30 days of the start of each fiscal year. BENEFITS ADMINISTRATION - The Organization shall provide a comprehensive benefits package that includes health insurance, life insurance, retirement savings plans, paid time off, and such additional benefits as may be approved by the Compensation Committee. Benefit eligibility shall be determined by employment type and tenure. - The Organization shall conduct an annual benefits review to assess plan utilization, cost-effectiveness, and market competitiveness. Plan design changes shall be communicated to employees at least 30 days before the effective date of any modification. - Employees on approved leave of absence shall continue to receive benefits in accordance with the applicable leave policy and governing legislation. The Organization's share of benefit premiums shall be maintained during statutory leave periods. ALLOWANCES & REIMBURSEMENTS - The Organization shall provide allowances and reimbursements for legitimate business expenses incurred by employees in the performance of their duties. All claims must be supported by original receipts and submitted within 30 days of the expense being incurred. - Travel allowances and per diem rates shall be established by the Finance department and reviewed annually. Business class travel shall be permitted for flights exceeding 6 hours for employees at the managerial level and above, subject to prior approval. - The Organization may provide role-specific allowances, including housing allowances, car allowances, and mobile phone allowances, as determined by the employee's grade and role requirements. Allowance structures shall be reviewed annually during the compensation planning cycle. POLICY COMPLIANCE & REVIEW - The HR department shall conduct annual audits of compensation and benefits practices to ensure compliance with this policy, applicable legislation, and internal equity standards. Audit findings shall be reported to the Compensation Committee. - This policy shall be reviewed comprehensively at least once every 12 months by the policy owner. Amendments shall be approved by the Compensation Committee and communicated to all employees at least 14 calendar days before the effective date. - Violations of this policy, including unauthorised pay commitments, falsification of expense claims, or discriminatory compensation practices, shall result in disciplinary action up to and including termination of employment.
